Welcome to Kinetic Esports Tech ("KET", "Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website (https://www.google.com/search?q=kineticesptech.odoo.com), proprietary software-as-a-service (SaaS) products, tournament management platforms, venue operational systems, APIs, and associated digital tools (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Eligibility & Account Registration

  • Eligibility: You must be at least the age of legal majority in your jurisdiction (or have verified parental/legal guardian consent) to register an account and enter into binding agreements.

  • Account Security: You are responsible for safeguarding your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

  • Accurate Information: You agree to provide true, accurate, and current registration information and to maintain its accuracy.

2. Scope of Services & Multi-Industry SaaS

KET provides digital infrastructure across competitive esports, gaming hub management, and broad digital enterprise:

  • SaaS Platforms: Cloud-hosted software solutions for scheduling, operations, analytics, billing, and system telemetry.

  • Esports & Tournament Tools: Matchmaking workflows, tournament bracket orchestration, live score aggregation, and leaderboards.

  • Venue Operations: Station reservation systems, hardware telemetry, and local/LAN management software.

  • APIs & Developer Services: Programmatic interfaces allowing integrations with approved third-party services and client platforms.

We reserve the right to modify, update, suspend, or discontinue any feature or component of the Services at any time with or without prior notice.

3. Acceptable Use & Prohibited Conduct

You agree to use our Services only for lawful purposes. You must not:

  • Reverse engineer, decompile, disassemble, or extract source code from our software, APIs, or infrastructure.

  • Deploy cheats, automated bots, exploits, screen-scrapers, or unauthorized automation tools against our tournament platforms or APIs.

  • Interfere with, disrupt, or place an unreasonable load on our servers, networks, or connected databases (including DDoS attacks or bypassing rate limits).

  • Use the Services to transmit malware, phishing schemes, or unlawful, harassing, or defamatory materials.

  • Circumvent security controls, authentication mechanisms (AuthN/AuthZ), or payment gateways.

Violation of these rules may result in immediate account suspension, permanent termination of service access, and potential legal action.

4. Subscriptions, Fees, and Payments

  • Billing: Access to commercial SaaS tiers, tournament entry services, or enterprise modules may require payment of subscription or licensing fees. All fees are stated in the applicable order form or checkout flow.

  • Payment Processing: Transactions are handled via encrypted third-party payment gateways. You agree to provide valid payment details and authorize recurring subscription charges where applicable.

  • Refund Policy: Except where required by applicable consumer protection laws or explicitly stated in an active Service Level Agreement (SLA), software subscription fees, platform licenses, and tournament administrative fees are non-refundable once provisioned.

5. Intellectual Property Rights

  • Our IP: All intellectual property rights in the Services—including software code, system architectures, UI/UX designs, algorithms, trademarks, logos, and documentation—are the exclusive property of KET or its licensors.

  • Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to use our platforms strictly in accordance with your plan level and these Terms.

  • User & Client Content: You retain ownership of any data, team assets, or branding you upload. By submitting content to our platform, you grant KET a worldwide, royalty-free license to host, display, and process your content solely to deliver and optimize the Services.

6. Termination & Account Suspension

  • By You: You may terminate your account at any time via your account settings or by submitting a written support request.

  • By KET: We reserve the right to suspend or terminate your account immediately, without liability, if you violate these Terms, fail to pay applicable fees, or engage in activity that threatens system integrity or other users.

  • Post-Termination: Upon termination, your right to access the software ceases immediately, and any outstanding payment obligations become immediately due.

7. Disclaimers & Warranties

  • "As Is" Basis: The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, statutory, or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

  • Uptime & Lag: While we strive for continuous platform availability, we do not warrant that our software, APIs, or tournament tools will be entirely uninterrupted, error-free, immune to latency spikes, or compatible with all hardware and network setups.

8. Limitation of Liability

To the maximum extent permitted by applicable law, neither KET, its directors, employees, nor partners shall be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, data, goodwill, or tournament outcomes—arising out of or related to your use of or inability to use our Services, even if advised of the possibility of such damages.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be resolved through good-faith negotiation or brought before the competent courts situated in Rajasthan, India.

10. Changes to Terms

We may revise these Terms from time to time to accommodate new features, business models, or regulatory requirements. Material revisions will be indicated by updating the "Last Updated" date at the top of this document. Continued use of our Services after changes take effect constitutes your acceptance of the revised Terms.
